1. Service Description

Foregrade ("the Service") is a SaaS analytics platform that connects to your TikTok Shop seller account to calculate estimated net profit after fees, commissions, and cost of goods sold (COGS). The Service is provided by Foregrade Inc. ("we", "us", "our").

2. Financial Disclaimer

Profit calculations provided by Foregrade are estimates only. We use fee rates and data from the TikTok Shop API, but actual fees may differ from what we display. You should always verify your actual revenue, fees, and profit in the official TikTok Seller Center. Foregrade is not a financial advisor and does not provide financial, tax, or accounting advice. Do not make business decisions based solely on Foregrade data without consulting qualified professionals.

3. Account and Access

By connecting your TikTok Shop account, you authorize Foregrade to access your order data, product information, and fee data through the TikTok Shop API. You are responsible for maintaining the security of your account and credentials.

4. TikTok Developer Terms

Your use of Foregrade is also subject to TikTok's Developer Terms of Service and applicable TikTok Shop policies. By using the Service, you agree to comply with TikTok's terms governing the use of data accessed through their APIs.

5. Subscription Terms

Foregrade offers paid subscription plans billed monthly or annually. All plans include a 14-day free trial. You can cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

6. Limitation of Liability

To the maximum extent permitted by law, Foregrade shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim.

7. Data Accuracy

While we strive for accuracy, we do not guarantee that profit calculations, fee breakdowns, or other data displayed by Foregrade are error-free. TikTok may change their fee structure, API data format, or policies at any time, which could affect the accuracy of our calculations.

8. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to reverse engineer, decompile, or disassemble the Service; (c) share your account credentials with third parties; (d) use automated tools to access the Service beyond normal usage patterns.

9. Termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes constitute acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.
