Terms of Service

1. Service Description

Foregrade ("the Service") is a SaaS analytics platform that connects to your TikTok Shop seller account to calculate estimated net profit after fees, commissions, and cost of goods sold (COGS). The Service is provided by Foregrade, MB — a private limited company registered in Lithuania ("we", "us", "our"). The Service is currently available to UK TikTok Shop sellers only.

2. Financial Disclaimer

Profit calculations provided by Foregrade are estimates only. We use fee rates and data from the TikTok Shop API, but actual fees may differ from what we display. You should always verify your actual revenue, fees, and profit in the official TikTok Seller Center. Foregrade is not a financial advisor and does not provide financial, tax, or accounting advice. Do not make business decisions based solely on Foregrade data without consulting qualified professionals.

3. Eligibility

You must be at least 18 years of age to use Foregrade. By using the Service, you represent and warrant that you are at least 18 years old. This aligns with TikTok Shop's requirement that sellers be 18 or older. We do not knowingly collect personal information from anyone under 18. If we become aware that a user is under 18, we will terminate their account and delete their data.

4. Account and Access

By connecting your TikTok Shop account, you authorize Foregrade to access your order data, product information, return/refund data (including buyer usernames for return pattern analysis), and fee data through the TikTok Shop API. You are responsible for maintaining the security of your account and credentials.

5. TikTok Developer Terms

Your use of Foregrade is also subject to TikTok's Developer Terms of Service and applicable TikTok Shop policies. By using the Service, you agree to comply with TikTok's terms governing the use of data accessed through their APIs.

6. Subscription Terms

Foregrade offers paid subscription plans billed monthly or annually. All paid plans include a 14-day free trial. You can cancel your subscription at any time; cancellation takes effect at the end of your current billing period.

14-day money-back guarantee. If you upgrade from the free trial to a paid plan and decide Foregrade is not the right fit within 14 days of your first paid charge, email support@foregrade.io with the subject "Refund request" and we will refund the most recent charge in full, no questions asked. The guarantee applies once per customer and covers the most recent paid period only — earlier renewals on the same account are not eligible. Refunds are processed back to the original payment method within 5–10 business days via Stripe.

Founder's Deal refunds. The one-time Founder's Deal lifetime purchase is also covered by the 14-day money-back guarantee from the date of purchase. After 14 days, the lifetime grant is final and non-refundable.

Founder's Deal downgrade and cancellation. The Founder's Deal grants lifetime access to the current Growth-tier feature set. Because the entire fee is paid up-front and consumed at grant, holders cannot self-serve downgrade to a lower tier after the 14-day refund window — the alternative tiers exist for recurring subscribers, not lifetime grants. You may stop using the Service at any time, and you may delete your account (which terminates the lifetime grant), but no pro-rata refund is issued for the unused portion of the lifetime period. Your data deletion rights under this section and our Privacy Policy are unaffected.

Outside the 14-day window, no refunds are provided for partial billing periods, unused order capacity, or unused features.

7. Limitation of Liability

To the maximum extent permitted by law, Foregrade shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim.

8. Data Accuracy

While we strive for accuracy, we do not guarantee that profit calculations, fee breakdowns, or other data displayed by Foregrade are error-free. TikTok may change their fee structure, API data format, or policies at any time, which could affect the accuracy of our calculations.

9. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to reverse engineer, decompile, or disassemble the Service; (c) share your account credentials with third parties; (d) use automated tools to access the Service beyond normal usage patterns.

10. Termination

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes constitute acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Republic of Lithuania, without regard to its conflict-of-laws provisions. Any dispute arising out of or relating to the Service shall be subject to the exclusive jurisdiction of the courts of Lithuania, without prejudice to any mandatory consumer-protection rights you may have under the laws of your country of residence.
